2. Payment Terms

• All payments must be made according to the agreed quotation or invoice.
• Projects will only commence upon receipt of an initial deposit (if applicable).
• Delayed or incomplete payments may result in project delays, service suspension, or account termination.
• All fees are non-refundable unless otherwise specified in a written agreement.

3. Confidentiality

• Both parties agree to keep all business information, credentials, and data confidential.
• ITX DIGITAL SERVICES will take all reasonable steps to protect client data but is not liable for breaches caused by third-party platforms or client-side mishandling.

4. Intellectual Property

• All custom-developed software, configurations, and digital assets remain the property of ITX DIGITAL SERVICES until full payment is received.
• Third-party services (e.g., Google Workspace, Zoho Mail) are subject to their own licenses and usage policies.

5. Limitation of Liability

• ITX DIGITAL SERVICES is not responsible for loss of data, downtime, or business disruptions caused by client actions, third-party service failures, or force majeure events.
• Clients are responsible for maintaining their credentials, email passwords, and secure access.

6. Support & Maintenance

• 24/7 technical support is available for clients with active maintenance or hosting agreements.
• Requests outside the agreed support scope may be billed separately.

7. Service Termination

• Either party may terminate the service agreement with 14 days’ written notice.
• Upon termination, all services will be deactivated, and data backups will be retained for 7 days unless otherwise requested.

8. Governing Law

• These Terms shall be governed by the laws of Sri Lanka and applicable international business law where relevant.

9. Amendments

• ITX DIGITAL SERVICES reserves the right to update or modify these Terms & Conditions at any time. Clients will be notified of major changes via email or official communication channels.
